3. Service Delivery

3.1. Scope of Services

The specific services to be delivered will be detailed in the Agreement.

Any additional requests outside the agreed scope may incur additional charges and extend the delivery timeline.

3.2. Timelines and Milestones

Timelines for deliverables will be included in the Agreement.

Humbingo Consultancy Services LLP will make all reasonable efforts to meet these timelines, but delays caused by the client’s inaction or external factors are not the responsibility of Humbingo Consultancy Services LLP.

3.3. Delivery of Services

Deliverables will be provided in formats agreed upon with the client (e.g., digital, hard copy).

If applicable, updates or reports will be shared during the project lifecycle.

4. Client Responsibilities

4.1. Information and Resources

The client must provide accurate and complete information necessary for the delivery of services.

Access to relevant systems, tools, and resources must be granted promptly upon request.

4.2. Approvals and Feedback

Timely approvals and constructive feedback are required to ensure smooth progress.

4.3. Compliance

The client is responsible for ensuring all materials, data, and content provided comply with applicable laws and regulations.

5. Fees, Payments, and Invoicing

Payment terms, methods, and penalties for non-payment are governed by our Payment and Billing Policy.

Invoices will be sent via email, delivered to the designated contact at the client’s office or business location, or through other online methods.

All payments are subject to applicable taxes as per the laws of India.

6. Ownership and Intellectual Property

6.1. Deliverables Ownership

Ownership of deliverables will transfer to the client upon full payment of all dues.

Until full payment is received, all deliverables remain the property of Humbingo Consultancy Services LLP.

6.2. Reuse of Methods

Humbingo Consultancy Services LLP retains the right to reuse non-client-specific tools, frameworks, or methodologies developed during the project.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the service engagement. Confidentiality terms will be detailed in the Agreement or governed by a Non-Disclosure Agreement (NDA) where applicable.

8. Termination and Cancellation

8.1. Termination by Client

The client may terminate the services with written notice as per the Agreement.

Fees for completed work up to the termination date must be paid in full.

8.2. Termination by Humbingo Consultancy Services LLP

Humbingo Consultancy Services LLP may terminate the Agreement due to:

  • Non-payment of dues.
  • Breach of terms by the client.
  • Engagement in unlawful or unethical activities.

9. Liability and Disclaimers

Humbingo Consultancy Services LLP’s liability is limited to the amount paid by the client for the specific service.

No liability will be assumed for indirect, incidental, or consequential damages arising from the use of the service.

10. Dispute Resolution

All disputes arising from this Policy will be resolved in accordance with the Dispute Resolution Policy. The jurisdiction for disputes shall be Anand, Gujarat, India.

11. Amendments to Policy

Humbingo Consultancy Services LLP reserves the right to amend this Policy at any time. Any changes will be communicated to the client via email or updated on the company’s website.
